These Terms of Service ("Terms") govern your access to and use of Simply SEO Agent ("the Service", "the App"), operated by Lucent Innovation ("we", "us", "our"), including our Shopify app, our public website at https://ai-seo-optimizer.lucentinnovation.com, our free website audit tool, and any related dashboards, APIs, or communications.

By installing the App, creating an account, or using any part of the Service — including running a free audit without an account — you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.

Simply SEO Agent provides AI-assisted SEO tooling across two surfaces:

• You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
• You are responsible for keeping your login credentials confidential and for all activity under your account.
• You must provide accurate information when creating an account or connecting a store.
• Shopify merchants authenticate via Shopify OAuth; Website accounts authenticate with an email and password (hashed, never stored in plaintext).
• Notify us immediately at support@lucentcommerce.com if you suspect unauthorized access to your account.

Our free audit tool lets anyone scan a publicly reachable URL without creating an account. By submitting a URL, you confirm that you own the website, or have authorization to request an automated, read-only scan of it.

• The scan only reads publicly available pages — it never attempts to log in, bypass access controls, or write to your site.
• Scans are rate-limited per IP address and protected against automated abuse (e.g. bot verification).
• An unclaimed audit report is retained for a limited period and then automatically deleted.
• Creating an account and "claiming" a report migrates it into your dashboard as your first real audit.
• We may decline or block requests that we reasonably believe are abusive, automated at scale, or target infrastructure without authorization.

Billing works differently depending on how you use the Service:

The Service uses Anthropic's Claude models (and, for select features, other AI providers) to analyze your content and generate suggested fixes, metadata, and blog articles. AI output is a suggestion, not a guarantee of results — including search ranking outcomes.

• You are responsible for reviewing AI-generated content before it is published or applied to your live store.
• You control whether fixes are applied automatically or require your approval, depending on the settings you choose.
• AI output may occasionally be inaccurate, incomplete, or factually wrong (a known limitation of large language models) — verify anything published as fact.
• You own the content generated for your store; we claim no ownership over your product data, blog posts, or applied fixes.
• We do not guarantee any specific SEO ranking, traffic, or revenue outcome from using the Service.

You agree not to:

• Use the Service to scan, access, or attempt to access any website or system you do not own or have authorization to test.
• Attempt to bypass rate limits, bot protection, or authentication controls.
• Reverse-engineer, decompile, or attempt to extract the App's source code beyond what open-source licenses permit.
• Use the Service to generate unlawful, infringing, defamatory, or deceptive content.
• Resell, sublicense, or provide the Service to third parties as your own product without our written consent.
• Interfere with the Service's operation, introduce malware, or overload our infrastructure.
• Use automated means to scrape or bulk-extract data from the Service beyond its intended use.

We may suspend or terminate access for violations of this section, with or without notice, depending on severity.

• Simply SEO Agent, its logo, and its software are owned by Lucent Innovation and protected by intellectual property laws.
• We grant you a limited, non-exclusive, non-transferable license to use the Service for your own store(s) while your subscription is active.
• You retain all rights to your store data, product content, and any content you supply to the Service.
• You grant us a limited license to process your content solely to provide the Service (e.g. sending page text to an AI provider for analysis).
• Feedback you give us about the Service may be used to improve it without obligation or compensation to you.

The Service integrates with and depends on third-party platforms, including Shopify, Anthropic, Stripe, Google (PageSpeed Insights, Search Console, reCAPTCHA, OAuth), and our cloud hosting provider. Your use of those integrations is also subject to their own terms and policies. We are not responsible for outages, changes, or data handling by third-party services outside our control.

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any SEO recommendation will improve your search rankings, traffic, or revenue. You use AI-generated suggestions and automated fixes at your own discretion and risk.

To the maximum extent permitted by law, Lucent Innovation and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months preceding the claim, or $100 if you have not paid us anything.

Nothing in these Terms limits liability that cannot be limited under applicable law.

• You may stop using the Service at any time by uninstalling the Shopify app or cancelling your Website subscription and deleting your account.
• We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if required by law or a platform partner (e.g. Shopify).
• On termination, your right to use the Service ends immediately; data handling on termination is governed by our Privacy Policy.
• Sections that by their nature should survive termination (e.g. IP, disclaimers, limitation of liability) will survive.

We may update these Terms from time to time. Material changes will be announced by email to the account owner and/or an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless a mandatory local consumer-protection law provides otherwise for your jurisdiction. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the courts located in India.
